Refyral Affiliate Program Agreement

This Affiliate Program Agreement ("Agreement") is between you ("Affiliate," "you") and the program owner operating this affiliate program on the Refyral platform ("Company," "we," "us"). By checking the acceptance box and enrolling, you agree to be bound by this Agreement.

1. Appointment & relationship We grant you a non-exclusive, non-transferable, revocable right to promote the Company's products and services and earn commissions on qualifying sales you refer. You are an independent contractor — not an employee, agent, partner, or joint venturer of the Company or of Refyral. You have no authority to bind the Company. You are solely responsible for your own taxes.

2. Commissions — real sales only You earn a commission only on a completed, paid sale to a genuine end customer that is attributed to you under the program's tracking and attribution rules. Where the program offers multi-tier (override) commissions, an override is earned only on a real, paid downstream sale — never for recruiting, for a referral signing up, or for a downline's own purchase. There is no payment of any kind for recruitment itself, and there is no fee to join.

3. Payouts & taxes Payouts are made through Stripe Connect. To receive payment you must complete Stripe's onboarding, which collects your payout (bank) details and a valid tax form — a W-9 if you are a U.S. person, or the applicable W-8 (W-8BEN / W-8BEN-E) if you are not. Payouts are withheld until your tax form and payout details are on file. Commissions are held for a clearance period and become payable only after they clear and your balance reaches the program's minimum payout threshold. You authorize the recovery (clawback) of any commission paid on a sale that is later refunded, charged back, reversed, or found fraudulent, including by netting it against future payouts.

4. FTC disclosure & conduct You must clearly and conspicuously disclose your affiliate relationship wherever you promote the Company, in compliance with the FTC Endorsement Guides (16 CFR Part 255) and all applicable law. You will not: refer your own purchases or otherwise self-deal; use spam, unsolicited messaging, or deceptive claims; bid on the Company's trademarks in paid search or use misleading domains/ads; engage in cookie stuffing, forced clicks, or any fabrication of clicks or conversions; or misrepresent the Company's products, pricing, or terms.

5. Term, termination & changes Either party may terminate at any time. On termination you must stop using the Company's marks and promotional materials; unpaid cleared commissions earned before termination remain payable, subject to clawback. We may modify this Agreement, commission rates, or the program at any time, with changes effective on posting; material changes may require re-acceptance. Fraud, breach, or prohibited conduct may result in suspension and forfeiture of unpaid commissions.

6. No guarantee; limitation of liability Participation does not guarantee any earnings. To the maximum extent permitted by law, the Company and Refyral are not liable for indirect, incidental, or consequential damages, and total liability is limited to commissions actually owed to you. The program is provided "as is."

By accepting, you confirm you have read, understood, and agree to this Agreement.
